These Terms of Service ("Terms") govern your access to and use of the Humboldt CRM platform, operated by Humboldt CRM, a company organized under the laws of the State of Florida. By accessing or using our services, you agree to be bound by these Terms.
Acceptance of Terms
By creating an account or using Humboldt CRM, you agree to these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you may not access the service. You must be at least 18 years old to use our services.
Description of Service
Humboldt CRM is a customer relationship management platform designed for field teams. Our services include contact management, scheduling, quoting and invoicing, payment processing, communications, and reporting tools. We reserve the right to modify, suspend, or discontinue any aspect of the service with 30 days prior notice to active subscribers.
User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms, subject to the notice provisions described in the Termination section.
Payment, Cancellation, and Refunds
Subscription fees are billed according to the plan you select (monthly or annual). You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We do not issue prorated refunds for partial periods except as required by applicable law. For annual subscriptions, you may request a full refund within the first 14 days after your initial purchase. We reserve the right to change pricing with 30 days prior notice; price changes take effect at the start of your next billing period. Failure to pay may result in account suspension after a 14-day grace period.
Intellectual Property
Humboldt CRM and its original content, features, and functionality are owned by the Company and are protected by international copyright, trademark, and other intellectual property laws. You retain full ownership of all data you input into the platform and grant us a limited license to process that data solely for the purpose of providing our services.
Limitation of Liability
To the maximum extent permitted by Florida law, Humboldt CRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount paid by you in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under Florida law.
Indemnification
You agree to indemnify and hold harmless Humboldt CRM, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: your use of the service; your violation of these Terms; or your violation of any third-party rights.
Termination
We may suspend or terminate your access for violation of these Terms after providing 15 days written notice and an opportunity to cure the violation, except in cases of serious security breaches or illegal activity where immediate termination may be necessary. You may terminate your account at any time. Upon termination, your right to use the service will cease at the end of the current billing period. You will have 90 days after termination to export your data by contacting our support team; after that period, your data will be securely deleted in accordance with our Privacy Policy.
Dispute Resolution
Any dispute arising from these Terms shall first be resolved through good-faith informal negotiation for a period of 30 days. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its commercial arbitration rules, conducted in the State of Florida. Exceptions: either party may bring claims in small claims court if the claim qualifies; and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights. You may opt out of this arbitration provision by notifying us in writing within 30 days of creating your account at legal@usehumboldt.com.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. You consent to the personal jurisdiction and exclusive venue of the state and federal courts located in the State of Florida for any action not subject to arbitration.
